Gumption Coffee Inc.

1. What these terms cover

These Terms of Sale apply to every order placed at gumptioncoffee.com.

Orders placed on this website are sold to you by Gumption Coffee Inc. In these terms, "Gumption", "we", "us" and "our" mean Gumption Coffee Inc. together with its subsidiaries and affiliates.

Purchases made in our cafés are not covered by these terms. Each café is operated by a separate company and a café purchase is a contract with the company that operates that café.

These terms sit alongside our Terms of Service, Shipping Policy, Returns and Refunds Policy and Privacy Policy. Section 17 of our Terms of Service, which contains an arbitration clause and a class action waiver, applies to any dispute arising from an order.

2. Who can order

You must be at least 18 years old.

You must use a payment method you are authorised to use, and provide accurate billing and delivery information.

We sell to customers within the United States only. We do not ship outside the United States.

We sell to you for personal, family or household use. You may not buy for resale without our prior written agreement.

3. Placing an order and when a contract forms

When you place an order you are making an offer to buy. You are not entering a contract at that point.

Adding items to a cart does not reserve them. Receiving an order confirmation email does not mean we have accepted your order. An order confirmation is an acknowledgement that we received it.

We accept your order when we dispatch it. The contract forms at that point and covers only the items in that dispatch. Where an order is sent in more than one shipment, each dispatch is a separate acceptance of the items in it.

We dispatch orders within 1 to 3 business days of receiving them. Business days are Monday to Friday and exclude public holidays.

If we cannot dispatch within that time, we will tell you, and you may cancel the order and receive a refund for any items not dispatched.

Until we dispatch, we may decline your order in whole or in part for any reason. Where we decline after taking payment, we refund the amount taken for the declined items.

4. Prices

Prices are in United States dollars.

Prices may change at any time without notice. The price that applies to your order is the price displayed when you place it, subject to Section 5.

Prices online may differ from prices in our cafés.

Prices exclude shipping and tax unless stated otherwise. Shipping charges are set out in our Shipping Policy and shown at checkout before you pay.

5. Errors in price or product information

If a product is listed at the wrong price, or with wrong information, because of a typographical, technical, pricing, inventory or supplier error, we may cancel the order or the affected items.

We may do this whether or not the order has been confirmed and whether or not your payment method has been charged. Where we cancel and you have been charged, we refund the amount taken for the cancelled items.

We are not obliged to sell at an incorrect price.

6. Tax

We charge sales tax where we are required to.

Tax is calculated at checkout on the delivery address you enter and is shown to you before you pay.

Where an item is exempt in your state, or taxed at a different rate, that is applied automatically.

7. Payment

Payment is taken at the time you place your order, unless we tell you otherwise.

We accept the payment methods shown at checkout. Available methods may change at any time.

By submitting payment details you confirm you are authorised to use that payment method and that the details are accurate.

If a payment is declined, reversed, or later fails, we may cancel the order, withhold dispatch, and recover any amount owing.

8. Quantity limits

We may limit or refuse the quantity of any product sold to any person, household, payment method or delivery address.

We may apply a limit at any time, including after an order is placed.

9. Product descriptions, images and variation

Coffee is an agricultural product. Flavour, appearance, body and aroma vary between harvests, lots and roast batches. Tasting notes describe what we taste. They are not a guarantee of what you will taste.

Colour and appearance shown on your screen depend on your device and may differ from the product.

Packaging, labels and bag design may change without notice.

Weights are as stated on the product. Coffee loses moisture after roasting and small variation in filled weight is normal.

We do not warrant that any description, image, price, tasting note or brew recommendation is complete, current or free of error.

10. Availability and substitution

Listing a product does not guarantee it is available.

Where a product you ordered is unavailable, we may cancel that item and refund the amount taken for it, hold the order until the product is available, or supply a coffee of equivalent or higher value where you have agreed to a substitution.

We do not substitute a coffee for a different coffee without your agreement.

11. Title and risk of loss

Title to the goods passes to you when we receive payment in full.

Risk of loss and damage passes to you when we hand the order to the carrier.

From that point the order is yours. Our Returns and Refunds Policy and our Shipping Policy set out the limited circumstances in which we will consider a report of loss or damage in transit, and the conditions and time limits that apply.

12. Delivery

We deliver within the United States only.

Delivery times, carriers, charges and the treatment of delays, non-delivery and address errors are set out in our Shipping Policy.

The delivery estimate shown at checkout is carrier transit time. It does not include the time we take to dispatch your order under Section 3.

You are responsible for the delivery address you enter.

13. Changing or cancelling an order

Orders move into our roast and dispatch schedule as soon as they are placed.

We cannot guarantee that an order can be changed or cancelled after it is placed. If you want to try, email support@gumptioncoffee.com with your order number as soon as possible. Whether it is possible depends on where the order has reached, and it is at our discretion.

Once an order has been dispatched it cannot be cancelled.

Nothing in this section affects your right under Section 3 to cancel where we cannot dispatch within the stated time.

14. Promotional codes and discounts

A promotional code may be used only as stated in the offer it belongs to.

Unless the offer says otherwise:

  • One code per order
  • Codes do not combine with any other code or offer
  • Codes have no cash value and cannot be exchanged for cash
  • Codes cannot be applied to gift cards
  • Codes cannot be applied retrospectively to an order already placed
  • Codes cannot be applied to shipping charges
  • Codes are for personal use and may not be sold, traded, or published

We may withdraw, cancel or change any code at any time, including after it has been issued.

We may cancel an order and void a code where we believe a code has been obtained or used in a way the offer did not intend, including through resale, bulk use, or use across multiple accounts or addresses.

Items bought using a promotional code are not returnable and not refundable. Our Returns and Refunds Policy deals with this.

15. Gift cards

This section applies to gift cards bought at gumptioncoffee.com and delivered by email. Gift cards are sold and issued by Gumption Coffee Inc.

15.1 What you are buying

A gift card is a code delivered by email. It carries a stored balance in United States dollars.

Available amounts are $25, $50, $75 and $100.

A gift card is not a bank account, a debit card, a credit card or a prepaid card. It is not insured by any deposit insurance scheme.

15.2 Where the gift card can be used

Online only, at gumptioncoffee.com.

Gift cards bought on this website cannot be used in our cafés. Our cafés run on a separate payment system and cannot read these codes.

Gift cards for use in our cafés are a different product and are not sold on this website. If you want one, email support@gumptioncoffee.com.

Gift cards cannot be used anywhere other than gumptioncoffee.com.

15.3 Expiry

Gift cards do not expire.

15.4 Fees

No fee of any kind applies to a gift card. There is no activation fee, no service fee, no dormancy fee, no inactivity fee, no reloading fee and no handling fee.

The balance does not decline through the passage of time or through non-use.

15.5 How the balance works

Enter the code at checkout. The order total is deducted from the balance.

Any remaining balance stays on the card and can be used on a later order.

If an order costs more than the balance, pay the difference with another payment method.

A gift card cannot be topped up.

15.6 Balances under five dollars

Where the remaining balance is less than five dollars, you may ask us to pay you that balance instead of spending it.

Email support@gumptioncoffee.com with the gift card code and the email address the card was sent to. We will verify the balance and pay the cash value by a method we select, which may be a payment to the original payment method used to buy the card or a cheque.

15.7 What a gift card cannot be used for

A gift card cannot be used to buy another gift card.

A gift card cannot be exchanged for cash except as set out in Section 15.6 or where the law requires it.

15.8 Refunds and returns

Gift cards are not returnable and not refundable.

Where a gift card has been used to pay for an order, any amount we choose to refund on that order is returned to the gift card balance and not to any other payment method.

15.9 Lost, stolen or shared codes

Treat a gift card code like cash.

We do not replace a gift card that is lost, stolen, deleted, forwarded to the wrong person, or used by someone you did not intend to use it.

Anyone holding the code can spend the balance. We are not required to verify who is using it and we are not liable for use of a code by any person.

15.10 Tax on gift cards

No sales tax is charged when you buy a gift card. Sales tax is charged when the gift card is used, on the goods bought.

15.11 Unclaimed balances

Where a balance remains unused, we may be required by law to report it and remit it to the State. We do that where the law requires it. This does not shorten the period during which the gift card remains valid.

15.12 Fraud and misuse

We may void a gift card, refuse to honour a balance, and close any related account, where we believe a card was obtained fraudulently, bought with a payment method that was not authorised, obtained through an error in pricing or promotion, or is being resold or traded.

16. Returns and refunds

Our Returns and Refunds Policy applies to every order and forms part of these terms.

17. Wholesale and trade

These terms do not apply to wholesale or trade orders. Those are governed by the terms agreed for the account, or by the terms of the platform the order was placed through.

18. Our right to cancel, limit or refuse

We may cancel any order, limit or refuse any order, close any account, and decline to sell to you in future, where:

  • A payment fails, is reversed, or is not authorised
  • Information you gave us is inaccurate or cannot be verified
  • We believe an order is for resale
  • We identify a pattern of returns, refund claims, non-delivery reports or chargebacks
  • We believe an order or a claim is not made in good faith
  • A pricing, product or promotional error has occurred
  • Supply, production or delivery is affected by anything beyond our reasonable control

We do not have to explain a decision made under this section.

19. Chargebacks

If you dispute a charge with your bank or card issuer without first contacting us and allowing us to respond, we may decline to consider any claim relating to that order and may close your account.

20. Limits on our liability

Sections 14, 15 and 16 of our Terms of Service, covering disclaimer of warranties, limitation of liability and indemnity, apply to every order and are part of these terms.

Nothing in these terms limits any right you have that cannot be limited or excluded under applicable law.

21. Changes to these terms

We may change these terms at any time by posting an updated version to this page with a new last updated date. Changes take effect when posted.

The version in force when you place an order applies to that order. Placing a further order after an updated version is posted means you accept the updated version for that order.

22. Governing law

These terms are governed by the laws of the State of New York, without regard to its conflict of laws rules.

Section 17 of our Terms of Service governs dispute resolution. Where a claim is not subject to arbitration, the courts identified in Section 18 of our Terms of Service have exclusive jurisdiction.

The United Nations Convention on Contracts for the International Sale of Goods does not apply.

23. General

Severability. If any provision is found invalid or unenforceable it is limited or removed to the minimum extent necessary and the remaining provisions continue in force.

No waiver. Our failure to enforce any provision is not a waiver of it.

Assignment. You may not assign these terms. We may assign them without restriction.

Force majeure. We are not liable for any failure or delay caused by anything beyond our reasonable control, including natural events, fire, flood, epidemic, strike, crop failure, supply failure, carrier failure, utility or network failure, or government action.

Entire agreement. These terms, together with the documents referred to in Section 1, are the entire agreement between us about your order.
